These Terms of Use govern access to and use of TestPod, a software testing management and collaboration platform provided by Scandium Systems Inc. (“Scandium,” “we,” “us,” or “our”).
The Scandium website located at https://getscandium.com and the TestPod platform (collectively, the “Site” and “Services”) are copyrighted works belonging to Scandium Systems Inc.
Certain features of the Site and Services may be subject to additional guidelines, terms, or rules, which will be posted in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.
These Terms of Use describe the legally binding terms and conditions that govern your use of TestPod and other Scandium services.
1. Acceptance of Terms
BY ACCESSING OR USING TESTPOD, YOU AGREE TO BE BOUND BY THESE TERMS. You represent that you have the authority and legal capacity to enter into these Terms.
You must be at least 18 years of age to use the Services. If you do not agree with any part of these Terms, you must not access or use TestPod.
These Terms require the use of arbitration on an individual basis to resolve disputes and limit the remedies available to you in the event of a dispute.
2. Access to TestPod and Scandium Services
2.1 License to Use
Subject to these Terms, Scandium grants you a non-transferable, non-exclusive, revocable, limited license to access and use TestPod solely for your internal business or personal software testing and test management purposes.
2.2 Restrictions
The rights granted to you are subject to the following restrictions:
You may not:
- Sell, rent, lease, transfer, assign, or commercially exploit TestPod
- Reverse engineer, decompile, or attempt to extract source code
- Use TestPod to build a competing product
- Reproduce, copy, or redistribute any part of the platform
- Use automated systems to access the platform outside permitted usage
Scandium reserves the right to change, suspend, or discontinue TestPod at any time without notice.
2.3 No Support or Maintenance
Unless otherwise specified in a paid agreement, Scandium has no obligation to provide technical support or maintenance for TestPod.
2.4 Intellectual Property
All intellectual property rights in TestPod, including software, trademarks, branding, test management systems, dashboards, and related content, are owned by Scandium Systems Inc.
Your use of TestPod does not grant you any ownership rights.
3. User Accounts and Content
To use TestPod, you may be required to create an account. You are responsible for:
- Maintaining the confidentiality of your credentials
- All activity under your account
- Ensuring all information you provide is accurate
User Content
You may upload or create content within TestPod, including:
- Test cases
- Test suites
- Test runs
- Bug reports
- Project documentation
- Attachments and screenshots
- Integration data (e.g., Jira tickets)
You retain ownership of your content. However, by uploading content, you grant Scandium permission to host, process, and analyse it solely for the purpose of delivering TestPod services.
4. Third-Party Integrations
TestPod may integrate with third-party platforms such as Jira, Slack, GitHub, CI/CD tools, or other project management systems.
Scandium is not responsible for the availability, security, or functionality of third-party services.
Use of such integrations is at your own risk and subject to those third-party terms.
5. Data Usage and Privacy
Your use of TestPod is subject to the Scandium Privacy Policy.
TestPod may process user data to:
- Manage test cases and test runs
- Generate reports and analytics
- Facilitate collaboration between team members
- Provide insights and product improvements
Scandium uses industry-standard practices to secure your data, but cannot guarantee absolute security.
6. Disclaimers
TestPod is provided “as is” and “as available.”
Scandium makes no warranties regarding:
- Error-free operation
- Compatibility with your systems
- Continuous availability
- Suitability for any particular business purpose
You acknowledge that TestPod is a test management platform and does not guarantee defect-free software outcomes.
7. Limitation of Liability
To the maximum extent permitted by law:
Scandium shall not be liable for:
- Lost profits
- Data loss
- Business interruption
- Any indirect, incidental, or consequential damages
Scandium’s total liability for any claims shall not exceed $50 USD or the amount you paid to use TestPod in the last 30 days, whichever is greater.
8. Termination
Scandium may suspend or terminate your access to TestPod at any time if:
- You violate these Terms
- You misuse the platform
- Payment obligations are not met
Upon termination:
- Your right to use TestPod ends immediately
- Your account and associated data may be deleted
9. Copyright Policy
Scandium respects intellectual property rights.
If you believe copyrighted material has been used improperly on our platform, you may submit a notice to:
10. Dispute Resolution and Arbitration
10.1 Informal Resolution
Before initiating legal action, you agree to contact Scandium to attempt an informal resolution.
10.2 Arbitration Agreement
All disputes arising from these Terms shall be resolved by binding arbitration on an individual basis.
You waive the right to participate in class actions or jury trials.
11. Changes to These Terms
Scandium may modify these Terms at any time. Continued use of TestPod constitutes acceptance of updated Terms.
12. Export Compliance
You agree to comply with all applicable export and trade control laws when using TestPod.
13. Entire Agreement
These Terms constitute the entire agreement between you and Scandium regarding the use of TestPod.
14. Governing Law
These Terms shall be governed by the laws of the State of California, United States.
